| Board Members |
| Members of the Board of Directors shall include the President, the Vice President/Director of Operations, the Registrar, the Treasurer, the Secretary, the Travel Director(s), the Immediate Past President, the other elected persons who have major assigned responsibilities (i.e. Division Director) within Wappinger United Soccer Club, Inc. |
| Number of Directors |
| The number of directors shall be at least three (3) but no more than twenty (20). |
| Election & Term of Directors |
| At each Annual Meeting of the Board of Directors, to be held on the third Wednesday of February, but no later than the third Wednesday of March, the members of the existing Board of Directors shall elect new members of the Board of Directors to hold office from April 1st until March 31st of the term to which he/she is selected and until the expiration of the term to which he/she is elected and until his/her successor has been elected and qualified, or until his/her resignation or removal from office. Special elections may be held at the discretion of the Board at regularly scheduled meetings, to fill vacancies. |
| Quorum |
| A simple majority (51%) of board members shall constitute a quorum. |
| Board of Directors Meetings |

All Board of Directors meetings will be held on the third Wednesday of each month or according to
the schedule presented and agreed upon by the elected Board of Directors with a minimum of six
(6) meetings per year.
Each Board Member is required to attend at least 75% of the meetings per year. Failure to meet this requirement may lead to termination as a Board Member, at which time an eligible alternate acting in a temporary capacity as a non-voting member, may be selected and inducted by the existing Board Members via a majority vote. All Board of Directors meetings shall be open to all members for the first hour of a regularly scheduled meeting. A closed executive voting session will follow the open session. A majority vote shall be required for passage of any motions at each meeting. |
| Amendments to Constitution & Bylaws |
| Motions to amend the Constitution and bylaws of Wappinger United Soccer Club, Inc. shall require a two-thirds majority of the full Board of Directors. Amendments to the Constitution and by-laws may be made only at the Annual Meeting and must be submitted at least one month prior to the Annual Meeting. |
